I acknowledge that I have read and understand the details of the Cash Manager feature described above, I confirm the Cash Manager elections I have made in the foregoing enrollment application ("Application") and I authorize Fidelity Brokerage Services LLC, National Financial Services LLC and their affiliates (collectively "Fidelity") to add the Cash Manager feature to the Fidelity^® Cash Management Account identified above.

I understand that the Fidelity^® Cash Management Account Customer Agreement ("Agreement") governs my use of the Cash Manager feature and such Agreement is incorporated herein by this reference and nothing in these Cash Manager Terms and Conditions shall modify the rights and responsibilities set forth in the Agreement. I understand further that Fidelity will confirm in writing any changes made to the Cash Manager feature of the Fidelity^® Cash Management Account. Any conflict between these Cash Manager Terms and Conditions and the Agreement will be resolved in favor of the Agreement.

By my addition of the Cash Manager feature to the Fidelity^® Cash Management Account I specifically instruct and authorize Fidelity to:

1. Establish the Self-funded Overdraft Protection, Minimum Target Balance and Maximum Target Balance options that I have selected in the foregoing Cash Manager enrollment Application to the Fidelity^® Cash Management Account;
2. Establish the Funding Accounts and the Funding Accounts hierarchy for Cash Manager as I have designated in this Application;
3. Without notice or separate instruction from me, transfer available core balances and, if I have selected Overdraft Protection, available margin credit and non-core Fidelity Money Market fund balances from my Funding Accounts (up to $99,999.99 per day per Funding Account) to the Fidelity^® Cash Management Account in accordance with the standing instructions I have provided above in this Application;
4. Redeem any shares of Fidelity Money Market funds in my Funding Accounts as necessary in accordance with the Funding Account hierarchy to effect the transfers I have authorized in this Application; Transfer money from my outside bank account to the Fidelity^® Cash Management Account in accordance with the Electronic Funds Transfer (EFT)/Fidelity Money Line application I have executed, the provisions of which are incorporated herein by this reference, if I have included my outside bank account as a Funding Account;
5. Change the Overdraft Protection, Minimum Target Balance and Maximum Target Balance options, and the Funding Accounts as well as the Funding Accounts hierarchy in accordance with subsequent instructions provided by me and, if this is a Joint or Trust registration, in accordance with subsequent instructions provided by the other joint account owner(s) or trustee(s), as applicable, whose authority to provide such subsequent instructions to change such options on Funding Accounts I own (individually or with others), I hereby acknowledge; and
6. Provide "View Only" access through Fidelity.com to my Funding Accounts which are owned by me (individually or with others), to all joint owners or trustees of the Fidelity^® Cash Management Account if the Fidelity^® Cash Management Account is a Joint or Trust registration.

I may temporarily suspend the Cash Manager feature and it will remain suspended for ten business days or until I notify Fidelity to reactivate the feature, whichever is shorter. Otherwise, the preceding instructions and authorizations shall remain in effect until termination by me has been acknowledged by an authorized representative of Fidelity or until a notice of termination by Fidelity has been provided to me at my address of record in the Fidelity^® Cash Management Account or at my email address if I have elected to receive notices electronically. I further understand that any changes to my Cash Manager elections will not be effective until my revised elections have been received and confirmed by Fidelity.

If any provision of the Application or any of the authorizations granted hereunder is, or at any time should become, inconsistent with any present or future law, rule or regulation of any regulatory or self-regulatory entity or any securities exchange, or of any sovereign government or a regulatory body thereof and if any of these bodies has jurisdiction over the subject matter of this Application or the Agreement, the provision shall be deemed to be superseded or modified to conform to such law, rule or regulation, but in all other respects this Application and the Agreement shall remain in full force and effect.

I agree that neither Fidelity nor any Fidelity Money Market fund I have designated as a part of the Cash Manager feature on the Fidelity^® Cash Management Account or my Funding Account(s) will be liable for any loss, liability, cost or expense arising out of any transfer or redemption made through the Cash Manager feature so long as Fidelity has acted in accordance with the instructions and authorizations I and/or, if this is a Joint or Trust registration, the other joint owner(s) or trustee(s), as applicable, have provided to Fidelity.

I agree to hold harmless and indemnify Fidelity, its successors, assigns, control persons, officers, directors, agents and employees for any and all losses, liabilities, claims, and costs (including reasonable attorneys' fees) that may arise from my acts or omissions or the acts or omissions of any joint account owner related to the Cash Manager feature.

I understand that Fidelity will only be able to redeem Fidelity Money Market fund shares and transfer cash under the Cash Manager feature to the extent such assets are available in the Fidelity^® Cash Management Account or Funding Account(s) (up to $99,999.99 per day per Funding Account).

I understand that Overdraft Protection: i) is self-funded as it will only cover transactions for which there are sufficient available assets in my Funding Accounts (up to $99,999.99 per day per Funding Account); ii) will only cover cash transactions (e.g., checks, debit cards, electronic funds transfers, etc.); and iii) will not cover transactions for the purchase of securities. Any use of Margin for Overdraft Protection will be subject to the provisions relating to the use of Margin (including additional costs and interest charges that apply) set forth in the Funding Account customer agreement(s). I acknowledge that I have reviewed and understand the terms and conditions of my use of Margin.

I understand that if any Funding Account I have designated is a margin account, all that Funding Account's available core balance, available margin credit and non-core Fidelity Money Market fund balances will be used first to cover overdrafts even if subsequent Funding Account(s) (up to $99,999.99 per day per Funding Account) in the Funding Account hierarchy have available core balances. I understand, acknowledge and am aware that I can change the Funding Account hierarchy to potentially reduce the use of margin to cover overdrafts;

If I am applying for the Cash Manager feature for a Joint or Trust Fidelity^® Cash Management Account, I hereby authorize Fidelity to use assets in any of my Accounts which are designated in this application as Funding Accounts to replenish the Fidelity^® Cash Management Account whenever its balance goes below the designated Minimum Target Balance amount or if I have selected Overdraft Protection, when cash transactions would result in an overdraft of the Fidelity^® Cash Management Account. This authorization extends to cover any withdrawals from the Joint or Trust Fidelity^® Cash Management Account, including all or any portion of such withdrawals which were initiated by a joint owner or trustee, as applicable, who is not an account owner of my Funding Account.

I understand that the Fidelity^® Cash Management Account, including the Cash Manager feature I have established with this Application, is governed by a predispute arbitration clause which is found on the last page of the Agreement. I acknowledge receipt of the predispute arbitration clause.

As provided in the Agreement, Fidelity may modify or terminate the Cash Manager feature at any time, for any reason, and without prior notice.

I have received, read, understand and agree to all of the foregoing.
