Fidelity Investments Financial Education Grant Challenge Rules ("Entry Rules")

CHALLENGE DATES: Challenge begins on September 24, 2013 at 12:00:01 am Eastern Time (“ET”), and ends on November 7, 2013 at 11:59:59 pm ET (the “Entry Period”).

AGREEING TO THE TERMS AND CONDITIONS FOR THIS SITE AFFIRMS YOUR AGREEMENT TO THE ENTRY RULES.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

SPONSOR: The Challenge is sponsored by FMR LLC, 82 Devonshire Street, Boston, MA 02109 (“Fidelity Investments”).

CHALLENGE DESCRIPTION: Fidelity Investments is looking for submission by eligible entrants (“Entrant(s)”) of innovative, new ideas for utilizing volunteers, expertise and possibly technology to improve the financial literacy of high school students in low-income areas. Fidelity Investments will review submitted Entries (as defined below) and select an Entry based on the criteria provided below. The Entrant whose idea is selected for implementation will receive a $1,000 charitable gift card to DonorsChoose.org which will allow the Entrant to make a donation to a project at a public school posted on the DonorsChoose.org website (the “Grant Challenge Reward” and the winning Entrant is the “Reward Recipient”). The Entrant is not required to be affiliated with a 501(c)(3) public charity, public school or other entity, however in the Entry form there is a field in which the Entrant may (but is not required to) identify an organization that he or she believes could successfully implement the idea.

Fidelity Investments may then make available up to $100,000 to a non-profit organization or educational institution selected by Fidelity Investments to implement the winning idea, with the goal of establishing a pilot program in 2014. The organization or institution selected by Fidelity will be a 501(c)(3) public charity, public school or other entity with experience and interaction with high school students. Award of funding to the organization or institution is contingent upon successful negotiation of a grant agreement with such organization or institution within a reasonable time. If the organization or institution and Fidelity Investments cannot successfully negotiate an agreement within a reasonable time as determined by Fidelity Investments, the funding will not be released.

The organization or institution selected will take the leadership role in implementing the idea, and determining how, or if, the Entrant will be involved.

ELIGIBILITY: Submitting an Entry in this Challenge is open to persons who, on the date of Entry are individual legal residents of one of the fifty (50) United States or the District of Columbia, fourteen (14) years of age, or older. Employees, officers, and directors, of Fidelity Investments and its affiliated and subsidiary companies (and their immediate family members), are not eligible to enter. For purposes of this Challenge, “immediate family members” means parents, spouses, children, siblings, in-laws, grandmothers, or grandfathers and those persons living in the same household of these individuals whether related or not.

NOTICE TO THE PARENTS AND LEGAL GUARDIANS OF MINORS: The parent or legal guardian of an Entrant under the age of majority in his/her state of residence: (a) will ensure that the Entrant in respect of whom they agree to these Entry Rules will comply with the Entry Rules; and (b) warrant that the Entrant is capable of agreeing to the Entry Rules and giving the consents contained herein. The parent or legal guardian of each such Entrant, agrees to indemnify the Released Parties (as defined below) for and against: (a) any claims made by the Entrant, his or her legal guardian, or any member of his or her family against the Released Parties in connection with the Challenge; and (b) any losses (including any liability) caused by any conduct of the Entrant which is inconsistent with the Entry Rules.

HOW TO ENTER: Anytime during the Entry Period, an Entrant may submit an Entry. To submit an Entry, you must agree to these Entry Rules by clicking “I have read the Entry Rules and agree to their terms” at the bottom of this page, to be read in conjunction with any other related policies or terms made available to you by Fidelity . From there, you may complete the Entry form accessible through that link. There is no fee or charge to submit an Entry. The Challenge application is hosted by Spigit, Inc. on behalf of Fidelity Investments.

The Entry must be submitted through the Entry form accessible through the link below, and include Entrant contact information including Name, Address, Phone Number, Email Address, Date of Birth and your innovative, new idea improving the financial literacy of high school students in low-income areas (including how Fidelity Investments volunteers can be involved as part of the program), and a description of how you would envision the program being implemented and measuring its success (each an “Entry” and collectively the “Entries”). The Entry must be in essay form and no longer than 2,000 words. There is no minimum length requirement. Entrants may include links to appropriate research to validate ideas or add context. The Entry may (but is not required to) include organization or institution contact information for the organization or institution recommended to implement the idea (if applicable) including: organization or institution Name, Address, Phone Number and Email Address, Tax Payer ID Number (if available to Entrant), and the organization or institution Mission and Purpose.

Limit one (1) Entry per Entrant. If more than one (1) Entry is submitted by an Entrant, only the first Entry received (based on date and time Fidelity Investments receives the Entry by the Entrant) will be judged. All Entries must be submitted by a single Entrant. Group Entries will not be accepted.

ENTRY TERMS: This Challenge is void where prohibited. By entering, and as part of the Entry Rules, Entrants agree to comply with the Terms of Use accessible through the Fidelity.com launch page for the Challenge. By entering, Entrant (or minor Entrant’s parent/legal guardian) warrants that his or her idea, Entry, and all elements thereof satisfy the terms and conditions provided herein, and that the Entry in this contest:

  • is the exclusive original work solely of the Entrant which he or she has the unrestricted right
       to submit;
  • has not previously been published or won an award or prize of any kind;
  • does not infringe or violate the rights of any third party, including but not limited to, copyrights,
       trademarks, patents, trade secrets, logos, contract and licensing rights, rights of publicity or
       privacy, moral rights, or any other intellectual property rights;
  • is not subject to any third party agreements, and that Fidelity Investments will not be required
       to pay or incur any sums to any person or entity as a result of their use, exhibition, or exploitation
       of the idea or elements therein.

The winning Entry becomes the exclusive property of Fidelity Investments and will not be returned. Upon execution of the affidavit of eligibility and liability release described below, the Reward Recipient agrees to unconditionally and irrevocably assign and transfer to Fidelity Investments any and all rights that he or she now has or may in the future have in and to the Entry, including, without limitation, the copyrights, in any medium whatsoever. Fidelity Investments will have the unrestricted, perpetual right to use, not use, alter, edit, publish, display and/or transfer the Entry however it sees fit without further approval of or payment to the Reward Recipient.

If Fidelity Investments determines in its sole discretion that an Entrant has breached a representation or warranty, the Entry will be disqualified. Entrant agrees not to republish, rebroadcast, distribute, reverse engineer, alter, reproduce or commercially exploit the Challenge Entry form.

Neither Fidelity Investments nor its subsidiaries, affiliates or each of their respective officers, directors, shareholders, agents and employees, nor any Internet access providers (collectively “Released Parties”) are responsible for incorrect or inaccurate entry of information, human error, technical malfunction, lost/delayed data transmission, omission, interruption, deletion, defect, line failure of any telephone, computer or other network, computer equipment, software or any combination thereof, inability to access the Fidelity.com launch page for the Challenge or Challenge Entry form, for problems uploading or downloading any Challenge-related materials from the website, or for late, lost, damaged, misdirected, incorrect or incomplete Entry. For purposes of the Entry Rules, receipt of Entry occurs when Fidelity Investments successfully receives the Entry. Any Entry information collected from the Challenge shall be used only in a manner consistent with the consent given by Entrants at the time of Entry, with the Entry Rules, and with Fidelity Investments’ privacy policy.

JUDGING TO DETERMINE REWARD RECIPIENT: All eligible Entries received during the Entry Period will be judged by Fidelity Investments’ panel of judges (the “Panel” or collectively the “Panels”) beginning on or about November 8, 2013. The judging will occur at three levels, and each Panel will score each eligible Entry based on the following judging criteria (“Judging Criteria”). Each of the Judging Criteria will be assigned a percentage (listed below) to determine weighting of each criterion in determining the final score (out of 100 eligible points):

PANEL ONE
Panel one will include a population of Fidelity Investments’ volunteer associates who will judge Entries based on the following Judging Criteria. Entries when implemented will:

  • Improve the financial literacy of high school students in low income areas (25%)
  • Incorporate Fidelity Investments’ employee volunteers as part of the solution (25%)
  • Offer new and innovative ideas (25%)
  • Potentially incorporate technology (25%)

Panel one judges will narrow down Entries to the top 20% of submissions who will move on to Panel two judging.

PANEL TWO
Panel two judges, consisting of Fidelity Investments’ Community Relations associates, will evaluate the remaining Entries based on the following Judging Criteria. Entries will:

  • Improve the financial literacy of high school students in low income areas (25%)
  • Incorporate Fidelity Investments’ employee volunteers as part of the solution (25%)
  • Offer new and innovative ideas (20%)
  • Potentially incorporate technology (10%)
  • Be easy to implement by a 501(c)(3) public charity or state or other public college, university or school?. (10%)
  • Have the ability to scale larger in the future (10%)

Panel two judges will narrow down Entries to the top five Entries, for review by the final Panel.

PANEL THREE
Panel three, consisting of 10 Fidelity Investments’ associates with expertise in financial services and philanthropy, will evaluate the top five Entries to select the Reward Recipient.

Panel three will use all of the following Judging Criteria, and may, in its sole discretion, determine the Reward Recipient. Entries when implemented will:

  • Improve the financial literacy of high school students in low income areas (25%)
  • Incorporate Fidelity Investments’ employee volunteers as part of the solution (25%)
  • Offer new and innovative ideas (20%)
  • Be easy to implement by a 501(c)(3) public charity or state or other public college, university or school?. (10%)
  • Have the ability to scale larger in the future (10%)
  • Potentially incorporate technology (10%)

In the event of a tie, all tied entries will be re-judged by an additional judge selected by Fidelity Investments who will break the tie using the Panel three Judging Criteria.

Designation as the Reward Recipient is subject to Entrant’s proof of compliance with the Entry Rules. Entrants acknowledge that other Entrants may have created ideas and concepts contained in their Entry that may have familiarities or similarities to his/her Entry, and that he/she will not be entitled to any reward or right to negotiate with Fidelity Investments because of these familiarities or similarities. Fidelity Investments’ decisions are final and binding in all matters relating to this Challenge, including interpretation and application of the Entry Rules.

NOTIFICATION OF REWARD RECIPIENT: The Reward Recipient will be notified by mail, telephone, and/or email, by Fidelity Investments on or before December 31, 2013. The Reward Recipient may be required to sign and properly execute an affidavit of eligibility and liability release and, where permitted, a publicity release, a W9 Tax Form (if applicable), and any other documentation as may be required by Fidelity Investments, and return it via email or facsimile (and subsequently by mail) to Fidelity Investments within fourteen (14) days after mailing to winner. In the event that the Reward Recipient cannot be contacted or if the Reward Recipient fails to properly execute and return all documents described herein in the time noted, or if the Reward Recipient declines to accept the prize, or if the Reward Recipient is found not to be eligible or not in compliance with the Entry Rules, the Reward Recipient will be disqualified and the next highest scoring Entry may be declared the alternate Reward Recipient, subject to all verification and eligibility requirements of the Entry Rules. In the event the Reward Recipient is disqualified for any reason, Fidelity Investments may award the prize to an alternate Entrant, in its sole discretion, based on the Judging Criteria detailed above even if the disqualified Reward Recipient's name or Entry may have been shown or announced online. If the Reward Recipient is a minor, it may be awarded in the name of a parent or legal guardian in Fidelity Investments’ sole discretion.

GRANT CHALLENGE REWARD FOR SELECTED ENTRANT: One Entrant will receive a Grant Challenge Reward for providing the selected idea. The Reward Recipient will receive a $1,000 charitable gift card to DonorsChoose.org which will allow the Entrant to make a donation to a project at a public school of their choice through the DonorsChoose.org website. The Grant Challenge Reward cannot be assigned, transferred, or substituted, except at the sole discretion of Fidelity Investments. Income taxes and all other expenses not specifically mentioned herein, if any, are the sole responsibility of the Reward Recipient. By accepting the Grant Challenge Reward, the Reward Recipient acknowledges compliance with the Entry Rules. Gift card are subject to all applicable terms and conditions of DonorsChoose.org. The Grant Challenge Reward will be awarded, assuming a sufficient number of eligible Entries. The Grant Challenge Reward may not be used to satisfy Entrant's prior pledge to any of the school projects posted on the DonorsChoose.org website.

ADDITIONAL CONTEST TERMS: Entrants (or minor Entrant's parent/legal guardian) waive and release Fidelity Investments, and its affiliates from any and all claims that Entrants may now or hereafter have in any jurisdiction based on “moral rights” or “droit moral” or unfair competition with respect to Fidelity Investments’ exploitation of Entries without further notification or compensation to Entrants of any kind, and agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against Fidelity Investments and its affiliates, licensees, or any other person in connection with this Challenge, on the grounds that any use of any Entry, or any derivative works, infringe, or violate any of Entrants rights therein.

By entering this Challenge, Entrants (or minor Entrant's parent/legal guardian) agree that Fidelity Investments and its affiliates, licensees, promotional partners, and third party marketing entities shall have the right and permission to use their name, picture, voice, biographical data, photograph, testimonial, or other likeness and/or prize information, and/or any information contained in his/her Entry for promotional, advertising, and/ or publicity purposes in any media, now or hereafter known, throughout the world in perpetuity, without compensation or notice to, or further consent of, to the Entrant. Fidelity Investments is not required to respond to any correspondence, including email, with non-winning Entrants. Fidelity Investments reserves the right, in its sole discretion, to disqualify any individual found tampering with the Entry process or Entry materials or otherwise interfering with the proper administration of the Challenge or violating the Entry Rules.

EACH ENTRANT (OR MINOR ENTRANT'S PARENT/LEGAL GUARDIAN) ACCEPTS THE CONDITIONS STATED IN THE ENTRY RULES, AGREES TO BE BOUND BY THE DECISIONS OF THE SPONSOR, WARRANTS THAT THEY ARE ELIGIBLE TO PARTICIPATE IN THIS CONTEST, AND AGREES TO RELEASE, INDEMNIFY, AND HOLD HARMLESS FIDELITY INVESTMENTS AND ITS SUBSIDIARIES, AFFILIATES, AND THE RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENCIES OF EACH FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITY, AND DAMAGES OF ANY KIND, (INCLUDING REASONABLE ATTORNEYS’ FEES AND EXPENSES) ASSERTED AGAINST ANY OF THEM, INCURRED, SUSTAINED, OR ARISING IN CONNECTION WITH THE USE, ACCEPTANCE, MISUSE, OR DONATION OF THE GRANT CHALLENGE REWARD, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY, OR FROM THE RESPECTIVE ENTRANTS’ BREACH OF ANY AGREEMENT OR WARRANTY ASSOCIATED WITH THE CONTEST, INCLUDING THE ENTRY RULES. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, FIDELITY INVESTMENTS RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR ANY SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

Each Entrant (or minor Entrant’s parent/legal guardian) hereby acknowledges and agrees that the relationship between the Entrant and Fidelity Investments is not a confidential, fiduciary, or other special relationship, and that the Entrant’s decision to provide the Entry to Fidelity Investments for purposes of the Challenge does not place Fidelity Investments in a position that is any different from the position held by members of the general public with regard to elements of the Entry, other than as set forth in the Entry Rules.

Each Entrant (or minor Entrant’s parent/legal guardian) understands and acknowledges that Fidelity Investments has wide access to ideas, and that new ideas are constantly being submitted to it or being developed by its own employees. Each Entrant (or minor Entrant’s parent/legal guardian) also acknowledges that many ideas may be competitive with, similar to, or identical to the Entry and/or each other in theme, idea, plot, format, or other respects. Each Entrant acknowledges and agrees that such Entrant will not be entitled to any compensation as a result of Fidelity Investments’ use of any such similar or identical material that has or may come to Fidelity Investments, or any of them, from other sources. Each Entrant (or minor Entrant’s parent/legal guardian) acknowledges and agrees that Fidelity Investments does not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the Entrant’s copyright in and to the Entry.

Each Entrant (or minor Entrant’s parent/legal guardian) acknowledges that, with respect to any claim by Entrant relating to or arising out of Fidelity Investments’ actual or alleged exploitation or use of any submission or other material submitted in connection with the Challenge, the damage, if any, thereby caused to the applicable Entrant will not be irreparable or otherwise sufficient to entitle such Entrant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition, or other exploitation of any program, website, advertising, materials or other thing based on or allegedly based on the Entry, and Entrant’s rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.

Each Entrant (or minor Entrant’s parent/legal guardian) hereby acknowledges and agrees that the Fidelity Investments trademarks are the exclusive property of Fidelity Investments. Each Entrant (or minor Entrant’s parent/legal guardian) further acknowledges and agrees that Fidelity Investments’ marks are valid and enforceable, and that Entrant shall do nothing to challenge the validity or enforceability of Fidelity Investments’ marks in any forum. Entrants (or minor Entrant’s parent/legal guardian) agree that the use of Fidelity Investments’ marks is not permitted, and that any use of Fidelity Investments’ marks whether in the Entry or otherwise infringes the rights of Fidelity Investments and will result in irreparable harm to Fidelity Investments.

This Challenge is governed by laws of the Commonwealth of Massachusetts and is subject to all applicable federal, state, and local laws. This Challenge is void outside the United States and where prohibited or restricted by law. Any and all legal actions or claims arising in connection with this Challenge must be brought in a court of competent jurisdiction in the Commonwealth of Massachusetts. If, in Fidelity Investments’ sole opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Challenge, or if technical difficulties compromise the integrity of the Challenge, or for any other reason, Fidelity Investments reserves the right to void suspect Entries and/or votes and/or terminate the Challenge and/or award the prize at its sole discretion. In the event of a dispute as to the identity of an Entrant, the Entry in question may be disqualified subject to Fidelity Investments’ sole discretion.

WHO WON: The name of the Reward Recipient will be posted on Fidelity.com/grant by April 30, 2014.
